Mr. Olson was recently the Chief Operating Officer of privately held Airborne Entertainment, where in addition to making an investment he was responsible for the day-to-day operations of the mobile content publisher. During his tenure, the company's market capitalization increased from $25 million in 2004 to $100 million, when it was sold in July, 2005. Prior to his tenure at Airborne Entertainment, Mr. Olson engineered the purchase of the internet payment processing division of BCE Emergis, a leading provider of electronic commerce solutions, and subsequently guided it to becoming a public company which was re-organized and renamed Surefire Commerce, where he became the Chief Executive Officer from 1999 to 2002. During that time period, Surefire became a leading provider of payment processing solutions for both the internet gaming and online shopping verticals. In 1998, he oversaw a merger of Bell Canada 's electronic commerce division into IMPACT Immedia, which saw the creation of BCE Emergis, a company whose revenue grew from $35 million to $500 million and whose market capitalization grew from $200 million to $18 Billion over a 3 year period. In 1995, he co-founded Totalnet, Inc., an internet service provider which grew to become Canada's largest, private ISP before it was sold to IMPACT Immedia, a public company, in 1996. He subsequently held the role of Chief Operating Officer and developed the company's e-commerce business. Steve ShaperMember of the Board Mr. Shaper is a partner with Convergent Investors , a private equity venture capital firm based in Houston, Texas . He joined Convergent Investors after serving as Chief Executive Officer of TeleCheck Services, Inc., a $420 million check guarantee and verification company based in Houston . He was on the original Board of Directors of Payment Services Company, the Houston TeleCheck franchise which grew to be the largest franchise and eventually took over management of the entire TeleCheck system. He joined Payment Services full-time in 1987 as Senior Vice President of Marketing and has seen it grow from $14 million to its present size in thirteen years. Prior to TeleCheck, Mr. Shaper owned or was a partner in more than 30 manufacturing, distribution, and importing companies during his business career. He currently is a board member of CDP Corporation, General Investment and Trust, Middlemarch Capital Corporation, Optimal Group, PayDay One Corp., Mickie Services Company, PreCash Corp., Cygnus Entertainment Group, Metal Oxide Technologies Corp. and Teravicta Technologies. He earned a Mechanical Engineering degree from Rice University and an MBA from Harvard Business School. F. Bryson FarrillMember of the Board Mr. Farrill has a distinguished 30-year track record as a financial consultant with many significant professional accomplishments. He also currently serves as a Director for several companies. Mr. Farrill is currently Senior Partner of Belgravia Financial, a European real estate investment company based in London , England . Previously, Mr. Farrill was a member of the New York Stock Exchange. Prior to that, he held a variety of senior and executive-level positions, including President of McLeod Young Ltd., and Chairman with McLeod Young Weir International (now Scotia McLeod). He was also a member of the Executive Committee for McLeod Young Weir Ltd. While at McLeod Young Weir Ltd., Mr. Farrill was instrumental in rapidly growing the company and creating a significant international presence by opening offices in London , Paris , Zurich and Geneva , as well as establishing business strategies for Tokyo and Hong Kong . Mr. Farrill currently serves as an Advisor and/or Board Member of several leading companies, including Swiss Medica, Caregain Inc., Power Technology, Inc., Crowflight Minerals Inc. and Devine Entertainment. Joel Leonoff C.AMember of the Board Joel is a business executive having founded three very successful high-tech companies. Joel founded Bizware Computer Systems Ltd, in 1988, a vertical market software company focused in the Oil and Gas Sector and sold the company in 1994 and assisted the company’s IPO on the Nasdaq exchange. In 1995, he founded TotalNet Inc., one of Canada’s leading independent ISP’s, serving as its COO and merged it with MPACT Immedia, a TSE listed global e-commerce solutions provider, 1997 where he served as an Executive VP and structured the merger with the Electronic Business Solutions unit of Bell Canada (re-named BCE Emergis). He took on the position of Senior VP, Sport and Entertainment Division, where he lead the development and growth of the fastest growing division in the company. Joel later purchased the Sports and Entertainment division from BCE Emergis and founded Surefire Commerce Inc. (re-named Terra Payments), a Canadian TSE company, serving as COO and CFO, and eventually as a board member. The company later merged with Optimal Robotics to form Optimal Payments Inc., a Nasdaq listed corporation. He most recently served as Group Operations Director / COO of Partygaming PLC, a FTSE 100 Company, regarded as the leading on-line gaming company in the world. Joel is a Chartered Accountant with a Bachelor of Commerce Degree (James McGill Award) and a Graduate Diploma in Public Accountancy (C.D. Mellor Award) from McGill University. He was also recognized by the Globe and Mail’s Canada Top 40 under 40 award, honoring Canadians for their vision, leadership, innovation, achievement, and community involvement. Andrew GertlerMember of the Board Andrew M. Gertler has been a Director of our Company since August 2004. From August 2004 through June 2006, he served as our Chairman of the Board and Chief Executive Officer. In addition to his position with us, since July 2006 Mr. Gertler has been a principal of Lester Asset Management, Inc., Montreal, Quebec, a discretionary money management and advisory firm where he engaged in portfolio management, merger and acquisition activities, corporate reorganization and private equity investments. Mr. Gertler serves on several boards of directors, including Northern Ethanol, Inc., Zi Corp. and Avicena Group, Inc. From 2001 to March 2004, he was Managing Director of Gestion Jean-Paul Auclair Inc. a private equity firm. From 1997 to April 2001, he served as director and held various executive officer positions with Hudson Advisors Canada, a private Company which acted as a Real Estate Advisory Company providing asset management services across Canada and the United States to both the Lone Star Opportunity Fund (LSOF) and the Brazos Opportunity Fund.. Mr. Gertler holds a B.Comm from McGill University and a M.B.A. from the University of Western Ontario. |
